These Terms & Conditions (“Terms”) govern your purchase of a license for, and your use of, the Agentry desktop application and the Agentry website (together, the “Service”). The Service is provided by an independent software developer operating as a sole proprietor based in India (“Agentry”, “we”, “us”, “our”). By buying a license, downloading, installing, or using Agentry, you agree to these Terms. If you do not agree, do not purchase or use the Service.

Plain-language summary. You’re buying a license to use a local-first desktop app. Your license activates on one device at a time. You bring your own AI tools/keys, and your code never passes through us. Paid plans include a 7-day money-back guarantee (see our Refund & Cancellation Policy). The software is provided “as is.” This summary is for convenience only — the full Terms below control.

1.The license we grant you

Subject to these Terms and your payment of the applicable fee, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use Agentry for your own development work. Depending on the plan you buy:

Lifetime — a one-time payment for a perpetual license to the version line you purchased, including updates we choose to provide for it.
Monthly / Yearly subscription — a license that remains active for as long as your subscription is paid and not cancelled.

This is a license, not a sale of the software itself. We retain all ownership of Agentry.

2.License keys, activation & one-device limit

Your license key is personal to you. Do not share, publish, resell, sublicense, or transfer it.
A license activates on one device at a time. Activation binds your key to a hashed device identifier. The app re-checks your license periodically and works offline for up to a 7-day grace period between checks.
If a device has not checked in for more than 7 days, the seat is released so you can activate on another device. We may limit or block keys that show signs of sharing, abuse, or fraud.
Circumventing, disabling, or tampering with license validation is a material breach of these Terms.

3.Acceptable use

You agree not to: (a) copy, resell, rent, lease, or redistribute the Service or your license key; (b) reverse engineer, decompile, or attempt to defeat the licensing or any technical protection, except to the extent this restriction is prohibited by applicable law; (c) use the Service to break the law or infringe others’ rights; or (d) use the Service in a way that harms, overloads, or interferes with it or with other users.

4.Your AI tools, keys & content

Agentry orchestrates third-party AI command-line tools and APIs (for example Claude Code, OpenAI Codex, Gemini CLI, and others) that you install, configure, and authenticate with your own accounts and API keys. When you use those tools, your prompts and data go directly from your machine to those providers under their terms and pricing — not through us. You are responsible for complying with each provider’s terms and for any costs they charge.

Agentry can read, write, and execute code and commands on your computer at your direction. You are responsible for reviewing what it does and for backing up your work. Run it only on projects and systems you’re authorized to use.

5.Pricing, payment & taxes

Prices are shown on our website in INR or USD. We may change prices at any time, but changes won’t affect a purchase you’ve already completed.
Payments are processed by Razorpay. We don’t see or store your full card, UPI, or bank details.
You’re responsible for any taxes, duties, or bank/currency-conversion charges that apply to your purchase unless we state otherwise.
Promotional or coupon-based orders (including any zero-cost activation) are provided on the terms stated at the time and may be withdrawn or limited.

6.Subscriptions & renewals

Monthly and yearly plans renew automatically at the end of each billing period using your selected payment method, until you cancel. You can cancel at any time; cancellation stops future renewals, and your access continues until the end of the period you’ve already paid for. See the Refund & Cancellation Policy for details.

7.Refunds

Paid plans include a 7-day money-back guarantee, subject to the terms and exclusions in our Refund & Cancellation Policy, which forms part of these Terms.

8.Updates, beta software & support

We may release updates, and some builds may be marked beta or pre-release. Beta builds may be incomplete, change, or behave unexpectedly. We provide reasonable email support at support@agentryco.com but do not guarantee any specific response time, feature, or uptime.

9.Disclaimer of warranties

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet your requirements. You use it at your own risk. Some jurisdictions don’t allow certain warranty exclusions, so parts of this section may not apply to you.

10.Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or business, arising out of or relating to the Service — including any actions taken by AI tools you run through Agentry. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the 12 months before the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

11.Intellectual property

Agentry, its name, logo, software, and website content are owned by us and protected by applicable laws. These Terms don’t grant you any rights to our trademarks or branding. Code and content you create with the app belong to you.

12.Termination

These Terms apply for as long as you use the Service. We may suspend or terminate your license if you materially breach these Terms (for example, by sharing keys or circumventing licensing). On termination you must stop using the Service. Sections that by their nature should survive (such as disclaimers, limitation of liability, and governing law) will survive.

13.Changes to these Terms

We may update these Terms from time to time. We’ll post the updated version here and revise the “Last updated” date. Material changes will be communicated where appropriate, and your continued use after changes take effect means you accept them.

14.Governing law

These Terms are governed by the laws of India, without regard to conflict-of-laws rules. Subject to applicable law, the courts located in India will have jurisdiction over any dispute relating to these Terms, and you also retain any mandatory consumer-protection rights available where you live.
